Welcome to Due Dili, operated by Due Dili LLC. By accessing or using the Due Dili platform at myduedili.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute the entire agreement between you and Due Dili regarding the use of the Service. By continuing to use the Service after changes are made, you accept the revised Terms.

1. Acceptance of Terms

You must be at least 18 years of age to use the Service. By using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you may not use the Service.

By creating an account or using the Service in any way, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you agree to these Terms on behalf of that organization and confirm that you have the authority to do so.

2. Accounts

To access certain features of the Service, you will need to create an account. When creating an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify Due Dili immediately of any unauthorized use of your account. Due Dili shall not be liable for any loss or damage arising from your failure to secure your account.

Due Dili reserves the right to terminate or suspend accounts at its sole discretion, without notice, for conduct that violates these Terms or that is deemed harmful to other users or the platform.

3. Subscription Plans & Payments

Due Dili offers the following subscription tiers:

Free Tier

Browse the property map and view AI-generated Due Dili Scores and document counts for any property. Upload up to 10 documents. Full AI-extracted insights require a paid subscription or one-time property purchase.

Premium — $19.99/month

Everything in Free, plus full AI-extracted insights for all documents across all properties, AI property summaries, and access to the homeowner portfolio feature with phase-aware AI analysis of your own property documents.

Pro — $69.99/month

Everything in Premium, plus a verified professional profile, the ability to create public property posts showcasing your work at specific addresses, and lead generation through the platform. Pro posts are always publicly visible — professionals own their content.

All payments are processed through Stripe. Subscriptions automatically renew at the end of each billing cycle unless cancelled. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period — you will retain access to paid features until that date.

One-Time Property Purchase: Users may also unlock full insights for a single property without a subscription. One-time purchases are non-refundable.

Refund Policy: Due Dili does not offer refunds for subscription charges. If you believe you have been charged in error, please contact us at support@myduedili.com within 5 business days of the charge. We reserve the right to issue refunds on a case-by-case basis.

Due Dili reserves the right to modify pricing at any time. Changes to pricing will be communicated to you in advance, and continued use of the Service after the change takes effect constitutes acceptance of the new pricing.

4. User-Uploaded Content

The Due Dili platform allows users to upload documents related to real estate properties, including but not limited to inspection reports, HOA records, CC&Rs, permits, disclosures, and other property-related documentation (collectively, "User Content").

By uploading content to the Service, you agree to the following:

  • You retain full ownership of your uploaded content.
  • You grant Due Dili a non-exclusive, worldwide, royalty-free license to store, process, and use your content solely for the purpose of extracting anonymized insights and operating the Service.
  • You confirm that you have the legal right to upload the content and that it does not violate any third-party rights.
  • You understand that AI-extracted insights derived from your uploaded documents may be publicly displayed on the platform. Raw documents are never served publicly.
  • You acknowledge that Due Dili will process your documents through the Anthropic Claude API to extract structured, anonymized insights. See Section 5 for details.
  • You are solely responsible for the accuracy, completeness, and legality of any content you upload.

Due Dili reserves the right to remove any User Content that violates these Terms, applicable law, or that is reported by other users, at its sole discretion and without notice.

5. AI Processing & Document Intelligence

Due Dili uses the Anthropic Claude API to process uploaded documents and extract structured, anonymized due diligence insights. This is a core architectural feature of the platform — raw documents are never served publicly to other users.

By uploading a document, you grant Due Dili permission to transmit that document to Anthropic's API for the purpose of insight extraction. The resulting structured data (flags, scores, summaries) is stored in our database and associated with the relevant property. The original document is retained securely in Firebase Storage but is never displayed to other users.

What other users see: Only AI-extracted, anonymized insights derived from your uploaded documents — not the documents themselves. This applies to all property pages and the homeowner portfolio feature.

Portfolio Documents: Documents uploaded to your private homeowner portfolio (Premium/Pro) are processed identically. Portfolio insights are visible only to you and are never shared publicly.

AI extraction is automated and best-effort. Due Dili does not guarantee that every instance of personally identifiable information will be excluded from derived insights. You are responsible for reviewing documents before uploading.

6. Professional Posts (Pro Tier)

Pro subscribers may create public posts linked to specific property addresses showcasing professional work performed at that location. By creating a post, you confirm that:

  • The work described was actually performed at the stated address.
  • You have the right to disclose the nature of the work performed.
  • The post does not contain false, misleading, or defamatory content.
  • You retain ownership of your post content. Due Dili is granted a license to display it publicly on the platform.

Pro posts are always publicly visible — they are not gated behind any subscription tier. Due Dili reserves the right to remove posts that violate these Terms.

7. Prohibited Conduct

You agree not to use the Service to:

  • Upload fraudulent, forged, or misleading documents.
  • Impersonate another person or entity.
  • Harass, threaten, bully, or discriminate against any user.
  • Violate any applicable local, state, or federal laws or regulations.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Upload malware, viruses, or any malicious code.
  • Scrape, crawl, or automate access to the Service without prior written permission.
  • Interfere with the normal operation of the Service or other users' access.
  • Collect or harvest any personally identifiable information from other users without consent.
  • Use the Service for any purpose that violates the spirit of real estate transparency.

8. Intellectual Property

The Due Dili platform, including its logo, design, features, and functionality, is owned by Due Dili and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on Due Dili's intellectual property without prior written permission.

User Content uploaded to the platform remains the intellectual property of the uploader. Due Dili does not claim ownership of User Content. AI-extracted insights derived from User Content are considered derived data and are owned by Due Dili.

9. Digital Millennium Copyright Act (DMCA) Policy

Due Dili LLC has registered a Designated Agent with the U.S. Copyright Office pursuant to 17 U.S.C. § 512(c)(2). Our DMCA registration number is DMCA-1072303.

Submitting a Takedown Notice

If you believe that content available on or through the Due Dili platform infringes your copyright, you may submit a written notification to our Designated Agent. To be valid under the DMCA, your notification must include all of the following:

  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
  • Identification of the copyrighted work you claim has been infringed;
  • Identification of the material you claim is infringing and information reasonably sufficient to allow us to locate it on the platform;
  • Your contact information, including your address, telephone number, and email address;
  • A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Counter-Notice Procedure

If you believe your content was removed by mistake or misidentification, you may submit a counter-notice to our Designated Agent. A valid counter-notice must include:

  • Your physical or electronic signature;
  • Identification of the material that was removed and the location where it appeared before removal;
  • A statement under penalty of perjury that you have a good faith belief the material was removed as a result of mistake or misidentification;
  • Your name, address, and telephone number; and
  • A statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located, and that you will accept service of process from the person who submitted the original takedown notice.

Upon receipt of a valid counter-notice, we will forward it to the original complainant. If the complainant does not file a court action within 10–14 business days, we may restore the removed content at our discretion.

Repeat Infringer Policy

In accordance with 17 U.S.C. § 512(i), Due Dili LLC maintains a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers of copyright. We reserve the right to terminate any user's access to the platform if they are found to have repeatedly uploaded or submitted infringing content.

Disclaimer

Submitting a false or fraudulent DMCA notice may expose you to liability under 17 U.S.C. § 512(f), including damages and attorneys' fees. Please consult legal counsel if you are unsure whether content infringes your copyright before submitting a notice.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Due Dili does not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • Any results obtained from using the Service will be accurate or reliable.
  • The quality of any insights, information, or other materials accessed through the Service will meet your expectations.
  • The AI-powered document processing will be 100% accurate or complete.
  • Documents uploaded by other users are accurate, legitimate, or legally valid.

Due Dili is an AI-powered property intelligence platform. It is not a real estate brokerage, legal service, or financial advisor. Users should not rely solely on insights available through Due Dili for real estate decisions and should conduct their own independent due diligence.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Due Dili shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Due Dili's total liability to you for any cause of action shall not exceed the total amount paid by you to Due Dili in the 12 months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Due Dili and its operators from any claims, damages, or expenses (including reasonable attorney fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

Any disputes arising under these Terms shall be resolved through binding arbitration in Clark County, Nevada, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or class action lawsuit.

14. Termination

Due Dili may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.

You may delete your account at any time through your account settings. Upon account deletion, your personal data will be removed in accordance with our Privacy Policy. AI-extracted insights associated with properties you contributed to may be retained as anonymized derived data.

15. Changes to Terms

Due Dili reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this page. Continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.
